Notice is hereby given that the following decision(s) have been made today by
Cabinet Members at the London Borough of Hillingdon:

That the Leader of the Council, and on behalf of the Cabinet
Members for Health & Social Care, Finance &
Transformation and Corporate Services & Property and on
the advice of the Corporate Director for Finance and the
Corporate Director of Adult Social Care & Health:
1. Approves the business case which outlines all
necessary due diligence undertaken in respect of the
acquisition of the care home, that all legal, regulatory
and
commercial requirements have been met and is
satisfied that the acquisition represents best value
for the Council in accordance with section 3 of the
Local Government Act 1999, noting the projected
savings that the council may achieve and allowing
the pur chase of the business to take place at the
earliest opportunity;
2. Approves for the care home to be operated by the
SPV - The Hillingdon Care Company (THCC) which
has been set up and incorporated with Companies
House on 23 rd January 2025 (company number
16204132);

3. Approves the funding of the SPV (as set out in the
Financial Implications section of this report)
including shareholder designation;
4. Agree the capital release request as set out in
Appendix A from the 2024/25 - 2025/26 Investment in
Care Home Capacity budget for the purchase of the
Care Home;
5. Accepts the direct award to The Hillingdon Care
Company for the provision of care placements to the
London Borough of Hillingdon for a 10 -year period
from 28 March 2025 to 27 March 2035 and at a
forecast value £45m;
6. Asks that The Hillingdon Care Company Directors
consider the acceptance of the single tender action
from Healthcare Management Solutions Ltd (HCMS)
for the provision of care management services for a
two-year period from 28 March 2025 to 27 March 2027
at a value of £372,160; and
7. Notes that on 21 March 2025, the Leader of the
Council, in conjunction with relevant Cabinet
Members, authorised under special urgency
provisions that the Hillingdon Care Company
Directors take forward exchange of contracts and
payment of a deposit for the sum set out in para. 19
for the purchase of the Care Home and to ratify this
urgent decision – further to agree this is to be
followed by completion of the purchase and payment
of the remaining acquisition fee, under delegated
authority.
Reason for decision These decisions progress and finalise the Council’s acquisition
of a local care home in the Borough to support local increasing
demand for nursing and dementia care places. This will allow
the Council as commissioner to gain better control over the
market and the pricing of bedded care and with the purchase
based on a business case.
Following the completion of satisfactory due diligence, the
decisions made enable the necessary property transactions,
funding and contractual arrangements via setting up The
Hillingdon Care Company, for the provision of Registered care
services at care home.
Due to the tight completion timetable on the property, on 21
March 2025, the Leader of the Council also authorised under
urgency procedures officers to proceed with the exchange

contracts and arrange for the deposit to be paid and this decision
also ratifies this.
These delegated decisions follow on from a confidential report
to December 2024 Cabinet to agree this project.
Alternative options
considered and
rejected
Alternative options were set out in the confidential report and
considered, including not progressing with the project or building
a new care home directly, discounted due current demand
pressures and time constraints.

publication as it involved the disclosure of information in
accordance with Section 100(A) and paragraph 3 of Part 1 of
Schedule 12 (A) to the Local Government Act 1972 (as
amended), in that the report contained information relating to the
financial or business affairs of any particular person (including
the authority holding that information) and that the public interest
in withholding the information outweighed the public interest in
disclosing it.
